Official Rules

1. Promotion: The Origen 12 Days of Giveaways – Instagram Series Sweepstakes (the “Sweepstakes”) consists of six (6) separate entry periods and drawings, each with one (1) winner. The Sweepstakes begin on December 1, 2025 at 10:00 AM Eastern Time (“ET”) and ends on December 20, 2025 at 10:00 AM ET. Each entry period is defined below, and winners will be selected in accordance with the procedures described in these Official Rules.

Note: The “12 Days of Giveaways” reflects the total number of giveaway days hosted by Sponsor across both Instagram and TikTok. These Official Rules cover only the six (6) Instagram giveaways. Entries submitted on Instagram are eligible only for Instagram prizes. TikTok entries are governed by separate rules for the six (6) TikTok prizes during their respective dates. The Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram or TikTok. Any questions, comments or complaints regarding the Sweepstakes should be directed to Sponsor, not Instagram or TikTok.

2. Eligibility: Sweepstakes may only be entered in or from the 50 United States and the District of Columbia by individuals who, at the time of entry, are at least eighteen (18) years of age, or the age of majority in their state, whichever is older (the “Entrant(s)”). Void where prohibited. The Sweepstakes is governed exclusively by the laws of the United States and subject to all applicable federal, state, and local laws. Employees, officers and directors of Coty Inc. (the “Sponsor”) and its parent company, subsidiaries, affiliates, partners, advertising and promotion agencies, manufacturers or distributors of promotion materials, and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees, officers and directors are not eligible to enter. 

How to Enter: The Sweepstakes consists of six (6) separate entry periods, each associated with a separate Instagram post made by @origenfragrances (each an “Entry Period”). Each Entry Period will have one (1) winner, for a total of six (6) winners. Only entries submitted via Instagram during the applicable Entry Periods below will be eligible for the six (6) Instagram prizes.

Entry Periods:

During each Entry Period, Entrants must follow the instructions posted on the applicable Instagram post. To enter, Entrants must complete all of the following steps for that day’s post:

1. Follow @origenfragrances on Instagram.
2. Like the post.
3. Tag a fragrance-loving friend in the comments of the post.

Entry Limits:

• There is no limit to the number of entries an Entrant may submit during an Entry Period.
• Each comment that tags one (1) friend’s valid Instagram username counts as one (1) entry.
• Entrants may participate in multiple Entry Periods and may win more than once across different platforms.
• Any attempt to use automated systems, bots, or scripts to generate comments or tags will result in disqualification.

Entry Timing:

• Each Entry Period is defined by the specific start and end dates listed in the Entry Period chart above. Entries (comments/tags) are only eligible for the Entry Period in which they are posted.

4. Drawing: Six (6) potential winners (one (1) from each Entry Period) (each, a “Potential Winner”) will be selected in a random drawing conducted by Sponsor on or about the dates listed in the Entry Periods chart above from all eligible entries received during that Entry Period. Odds of winning depend on the number of eligible entries received. An Entrant may win more than once across multiple Entry Periods on Instagram.

5. Winner Notification: Potential Winners for the Instagram Entry Periods will be notified on or about the dates listed in the Entry Periods chart above by direct message from Sponsor’s official @origenfragrances Instagram account, and/or by comment on their Submission. Potential winners may be required to sign and return, where legal, an Affidavit of Eligibility, Liability/Publicity Release and/or rights transfer document within five (5) calendar days of receipt. Additionally, winners may be required to obtain releases from any and all third parties appearing in their respective Submissions. Potential Winners will be required to provide shipping details to Sponsor within thirty (30) calendar days in order to claim their Prize. If a Potential Winner does not provide the required information within thirty (30) calendar days, the Prize may be forfeited and, at Sponsor’s discretion, awarded to an alternate winner (time-permitting). Beyond this date, Sponsor cannot guarantee delivery of the Prize. Upon Prize forfeiture, no compensation will be given.

6. Prize:Six (6) total prizes total (one (1) per Giveaway Series Period). Each prize consists of one (1) ORIGEN Himalayan Jasmine Serenade & Amalfi Love Bloom, Hair and Body Mist 7.9oz, Duo Set (the “Prize(s)”). The approximate retail value (“ARV”) of each Prize is $15.00. Total ARV of all Prizes: $90.00. Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. Winners are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at Sponsor’s sole discretion. Prize(s) is/are non-transferable. No substitutions or cash redemptions. In the case of unavailability of a Prize, Sponsor reserves the right to substitute a prize of equal or greater value. All taxes and unspecified expenses are the responsibility of winner(s). Prizes will be shipped within the 50 United States and the District of Columbia only.

7. General Conditions. BY PARTICIPATING, ENTRANTS AND WINNERS AGREE TO RELEASE AND HOLD HARMLESS (I) THE SPONSOR, ITS ADVERTISING AND PROMOTION AGENCIES, AND EACH OF THEIR PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, PARTNERS, REPRESENTATIVES, AGENTS, OFFICERS, DIRECTORS, EMPLOYEES, SUCCESSORS, AND ASSIGNS; AND (II) INSTAGRAM AND EACH OF THEIR RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS; (COLLECTIVELY, THE “RELEASED ENTITIES”), FROM ANY AND ALL LIABILITY, FOR LOSS, HARM, DAMAGE, INJURY, COST OR EXPENSE WHATSOEVER INCLUDING WITHOUT LIMITATION, PROPERTY DAMAGE, PERSONAL INJURY AND/OR DEATH WHICH MAY OCCUR IN CONNECTION WITH, PREPARATION FOR, TRAVEL TO, OR PARTICIPATION IN SWEEPSTAKES, OR POSSESSION, ACCEPTANCE AND/OR USE OR MISUSE OF PRIZE OR PARTICIPATION IN ANY SWEEPSTAKES-RELATED ACTIVITY AND FOR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, INVASION OF PRIVACY, COPYRIGHT INFRINGEMENT, TRADEMARK INFRINGEMENT OR ANY OTHER INTELLECTUAL PROPERTY-RELATED CAUSE OF ACTION. Any and all federal, state and local taxes are the sole responsibility of the winners. Participation in the Sweepstakes and acceptance of the Prize constitutes each winner’s permission for Sponsor to use their name, address (city and state), likeness, photograph, picture, portrait, voice, biographical information, and/or any statements made by each winner regarding the Sweepstakes or Sponsor for advertising and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval, except where prohibited by law. Entrants who do not comply with the Sweepstakes rules or attempt to interfere with the Sweepstakes in any way shall be disqualified. Sponsor is not responsible if Sweepstakes cannot take place or if any Prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. In the event of a dispute regarding entries submitted from multiple users associated with the same Instagram account, the authorized account holder of the Instagram account at the time of entry will be deemed the Entrant and must comply with these Official Rules. The “authorized account holder” is the natural person who is assigned to the email address linked to the Instagram account by the Internet Service Provider (ISP), online service provider, or other organization responsible for assigning email addresses. Each Potential Winner may be required to show proof of being the authorized account holder. If you enter using a mobile or connected tablet device, standard data fees may apply. Entrants should consult their wireless service provider's pricing plan for details. Entrants agree to incur any and all charges demanded by their wireless carrier.

8. Additional Terms. Any attempted form of entry other than as set forth above is prohibited; no automatic, programmed; robotic or similar means of entry are permitted. Released Entities are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one’s ability to enter the Sweepstakes, including any injury or damage to Entrant’s or any other person’s computer relating to or resulting from participating in this Sweepstakes or downloading any materials in this Sweepstakes. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Sweepstakes should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such case, Sponsor may select the winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or web site. Sponsor may prohibit an Entrant from participating in the Sweepstakes or winning a Prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other Entrants or Sponsor representatives. All entries become the sole and exclusive property of the Sponsor and receipt of entries will not be acknowledged or returned. By entering the Sweepstakes, Entrants fully and unconditionally agree to be bound by the Official Rules and the decisions of the judges, which will be final and binding in all matters relating to the Sweepstakes.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR WILL DISQUALIFY ANY SUCH INDIVIDUAL AND RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUALTO THE FULLEST EXTENT PERMITTED BY LAW. 

9. Limitation of Liability; Disclaimer of Warranties. IN NO EVENT WILL THE RELEASED ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF ACCESS TO AND/OR USE OF ANY SITES ASSOCIATED WITH THE SWEEPSTAKES AND/OR THE SWEEPSTAKES ITSELF AND/OR DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY SITES ASSOCIATED WITH THE SWEEPSTAKES. WITHOUT LIMITING THE FOREGOING, THIS SWEEPSTAKES AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

10. Disputes; Governing Law. The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Sweepstakes. Any controversy or claim arising out of or relating to these Official Rules and/or the Sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, City of New York. 

THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Sweepstakes, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to New York County in the State of New York. The parties agree not to raise the defense of forum non conveniens. 

11. Use of Data. Sponsor will be collecting personal data about Entrants online, in accordance with its privacy policy. Please review Sponsor’s privacy policy at https://privacy.coty.com/en_us/. By participating in the Sweepstakes, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s privacy policy.
